IMMIGRATION TO SPAIN 

Inimex Inc. has a long history of success working with Spanish immigration authorities over the years and generally, we try to offer clients looking into immigrating to Spain two major immigration programs: Real estate purchase and capital investors. Either of these options will result in a residence permit but both have important distinctions.

SPAIN: IMMIGRATION FOR PROPERTY OWNERS

Buyers of real estate are required to provide proof of purchase of property valued at a minimum of €500,000. Owners of properties of the above-mentioned value have the right to immigrate to Spain and obtain permanent residence (Law 14/2013, of September 2013).

SPAIN: IMMIGRATION FOR INVESTORS

Capital investors must provide proof of having made an investment within 60 days preceding the date of submission of the visa application. Four choices of investments are available:

1. Investments in shares not traded or social shares of Spanish companies (minimum 1 million Euros) validated by a copy of a declaration of investment available at: ‘Comisión Nacional del Mercado de Valores’ or at ‘Banco de España’;
2. Investments in shares listed (minimum 1 million Euros) registered with ‘la Entidad Financiera’ or at ‘Banco de España’;
3. Investments in Spanish national debt bonds (minimum 2 million Euros). A certificate issued by a Spanish financial institution or from ‘Banco de España’ stating that the applicant is the sole owner for a minimum of five (5) years is required;
4. Investments in the form of bank deposits (minimum 1 million Euros). A certificate from a Spanish financial institution stating that the applicant is the sole holder.

In addition to the initial investments, applicants are required to provide proof of sufficient economic means. The Spanish government requires a minimum yearly income of €26.000 as well as an additional €7.000 per family member. Our company carries out all necessary legal and administrative work to file the immigration documents to the Consular Section of Spain. Upon your arrival in Spain, we will guide you through the process of obtaining your necessary paperwork, including your new resident card.

In the case of applications for permanent residence, applicants are expected to be regularly found in Spanish territory, to be free of any criminal record in Spain, and in countries where residence was held for the past five years, to provide proof of sufficient financial means for themselves and their family, and to be in possession of health insurance provided by an insurer authorized to operate in Spain. 

SPAIN: CITIZENSHIP (NATURALISATION)

After obtaining your Spanish residency, you are eligible for Spanish nationality. This means that individuals who have been legal residents in Spain for an uninterrupted period of ten years can obtain Spanish citizenship. Exceptions include citizens of Latin America, Andorra, Portugal and representatives of the Sephardic Jewish community, who have the right to Spanish nationality after two years of legal residence in Spain.

As in most countries, acquisition of Spanish citizenship implies renunciation of your former nationality but this does not apply for citizens of Latin America, Andorra or Portugal.

CITIZENSHIP OF SPAIN

The following individuals are deemed to be Spanish citizens of origin:

1. If born of a Spanish mother or father;
2. If born in Spain to foreign parents and at least one of them was also born in Spain.

SPAIN: NATURALISATION (OPTION)

This option is a benefit our laws extend to foreigners who fulfill certain conditions, in order for them to acquire Spanish citizenship. The following are entitled to acquire Spanish citizenship by option:

1. An individual who is or has been subject to the parental authority of a Spaniard,
2. An individual whose father or mother was a Spanish citizen, provided such individual was born in Spain.

SPAIN: CITIZENSHIP (NATURALISATION)

This acquisition of citizenship requires the individual to be legally residing in Spain for a continuous period of ten years immediately prior to the application.

There are cases in which the required period of residence is reduced:

1. ___Five years: to grant Spanish citizenship to individuals who have obtained refugee status,
2. ___Two years: for nationals of Ibero-American countries, Andorra, the Philippines, Equatorial Guinea or Portugal, or individuals of Sephardic origin,

One year for:

1. Those born within the Kingdom of Spain,
2. Those who have not duly exercised their right to acquire Spanish citizenship by option,
3. Whoever, at the time of the application, has been married to a Spaniard for one year and is not separated de iure or de facto,
4. The widow or widower of a Spaniard if, at the death of the spouse he or s is not separated de iure or de facto,
5. An individual born outside of Spain with a father or mother or a grandfather or grandmother, originally Spanish,
6. Moreover, the individual concerned must prove good civic conduct and sufficient degree of integration in Spanish society.

In the event of having acquired Spanish citizenship by residence, naturalisation or option, the individual shall:

1. If older than fourteen years of age and capable of issuing a statement by himself swear loyalty to the King and obedience to the Constitution and the laws,
2. Declare that he renounces his prior citizenship, except if the individual concerned falls into any of the cases of entitlement to double citizenship.

BUSINESS IN SPAIN

Some of the judicial forms of companies available include the following:

1. Sole proprietor, this is an individual who personally and directly engages in a lucrative or professional activity, who manages himself and may provide employment. There exists no legal minimum capital and is ideal for a small company. No legal status is required.

2. Jointly owned company, a type of contract where ownership is shared between the existing partners. No legal limit exists for capital and there must be at least two partners.

3. Partnership, a contract where at least two people invest the capital and divide the resulting profits. There must be at least two partners in the partnership and there is no legal limit for capital.

4. General partnership, a joint trading company where all partners join together to share rights and privileges. This partnership must have at least two partners and there exists no legal limit for the capital. All partners participate equally in the company.

5. Professional partnership, a business entity formed by at least two individuals that endeavor to undertake an activity that requires an official university or professional qualification. The capital will depend on the corporate form the partnership takes.

6. Limited Liability Company, this is a trading company that has its capital divided into cumulative and indivisible equity interests provided by partners. The capital provided must be at least 3,000 Euros and needs at least one partner.

7. New Enterprise Limited Company, better known as a SRL, is a type of limited liability company where there needs to be at least 5 partners and the capital must be from 3,000 to 120,000 Euros. One advantage to this type of partnership is that it is possible to set this up almost completely on-line, saving considerable time and money.

8. Public limited company, a form of trading company where the capital is provided by the partners and divided into shares. There must be at least one partner and the minimum capital needed is 60,000 Euros.

9. Limited partnership, a joint trading company that is defined by the existence of general partners and limited partners that have different levels of liability. There must be at least two partners and there exists no legal limit for the capital.

10. Partnership limited by shares, a trading company where the capital is provided by the contributions of the partners and the capital divided into shares. One partner is named the general partner and has more responsibility as a result. There must be at least two partners and the capital is set at a minimum of 60,000 Euros.

11. Cooperative, is a kind of democratic association where a group is formed by several individuals who freely join together to conduct business. There must be at least three partners and the minimum capital required is determined by the articles of association.

12. Worker-owned Public Limited Company, where the majority of the capital is owned by the workers who are paid directly by the services they provide therein. There must be at least three partners and the minimum capital is set at 60,000 Euros.

13. Worker-owned Limited Liability Company, where the majority of the capital is owned by the workers who are paid directly by the services they provide therein. There must be at least three partners and the minimum capital is set at 3,000 Euros.

14. Mutual Guarantee Association, a trading company that provides endorsed personal guarantees or any other legally permitted means of insurance other than surety bonds to partners for business transactions and dealings in the companies they own. There must be at least 150 partners with a minimum capital of 1.803.036,30 Euros. .

15. Venture Capital Entities, these are financial entities that aim to finance non-financial and non-real estate unlisted companies. The board of Directors must contain at least three partners and has a minimum capital of 1,200,00-1,650,000 Euros.

16. Economic Interest Groupings, a non-profit trading company that aims to help or improve the results of the activities of the partners. There must be at least two partners and there exists no legal minimum for capital.
